ARTICLE I – NAME AND PURPOSE
Section 1 – Name: The name of the organization shall be The Mike Greeley Foundation. Â It shall be a nonprofit organization incorporated under the laws of the State of Minnesota.
Section 2 – Purpose: The organization was formed on March 16th, 2005.Â The organization was founded in the name of Michael Greeley who died tragically in a snowmobile accident in February of 2005.Â Mike was a good friend of all of the board members.Â The organization will support schools that Mike, and many of the board members, attended as well as programs for children that promote outdoor activities that Mike enjoyed.
As stated in the Bylaws, the organization has been established exclusively for charitable and education purposes. The purpose of this corporation is to provide grants to local area schools with priority given to Cretin-DerhamHall high school in St. Paul, MN, and Nativity of our Lord Catholic School in St. Paul MN, and to support local outdoor childrenâ€™s programs with priority given to fishing and golf programs.
Expenditures / Endowment
Phase I- In the first few years of the organizationâ€™s existence it is anticipated that a portion of the proceeds will be given in grants to local area schools, with priority given to Cretin-Derham Hall and Nativity of our Lord Catholic School.Â In the early years the remainder of the funds will be used to build an endowment fund.Â It is anticipated that Phase I will last approximately five years.
Phase II – As time goes on more and more of the annual proceeds and endowment earnings will be granted to organizations.Â Â Organizations that will be considered for grants will include local area schools and local outdoor childrenâ€™s programs.
Grant making Process
On an annual basis the Board will determine grants for the year.Â The Board will follow the purpose statement in the Bylaws to determine what organizations should receive grants and the amount of the grants.Â As stated above, during Phase I the organization will focus on making grants to local area schools and building the endowment.Â Therefore during phase I the organization will focus on making grants to local area schools and priority will be given to Cretin-Derham Hall and Nativity of our Lord Catholic School.Â In making the grants the board may request that the schools limit the use of the funds.Â The board will NOT provide scholarships, fellowships, educational loans, or other educational grants to individuals. No board member or member of the family of any board member will be able to benefit directly or indirectly from any of the limitations on the use of the funds requested by the board.
During Phase II, the organization will also consider making grants to local outdoor childrenâ€™s programs, withpriority given to golf and fishing programs.Â The board will scan the field of to identify organizations that align with the organizationâ€™s interest. The organization intends to identify organizations that expose local children to golf, fishing, and potentially other outdoor activities. No board member or member of the family of any board member will be able to benefit directly or indirectly from grants to the local area childrenâ€™s programs.
ARTICLE II – MEMBERSHIP
Section 1 – Membership: Membership shall consist of the board of directors.
ARTICLE III – BOARD OF DIRECTORS
Section 1 – Board role, size and compensation: The board is responsible for overall policy and direction of the association, and delegates responsibility of day-to-day operations to committees. Â The board shall have unlimited members, but not fewer than 8 members. Â The board receives no compensation other than reasonable expenses.
